We live in an era when it is almost impossible to discuss the growth strategy of one's firm without taking M&A into consideration, as we experience drastically fluctuating economic conditions. Meanwhile, there have been many grumblings about the challenge of maximizing M&A benefits, including comments like “M&A doesn't really work” and “I had no idea so much work was required to raise the corporate value after an M&A deal.” However, this has not prompted any company to “give up M&A altogether.” Conversely, an increasing number of businesses are willing to “tackle the next M&A deal that will further enhance corporate value by drawing on previous experiences.”

This shows that many firms in Japan have come to use M&A as a tool for corporate management. There is also a growing perception that “merely getting the deal done” does not guarantee success in M&A. In other words, Japanese companies have realized that value is something derived from the business model, intangible assets and people, all tapping the assets targeted in a deal, with the essence of the M&A lying in transforming them into higher values on the back of a deal. On the other hand, there is an increasing awareness that pushing the “business strategy perspective” alone does not boost the deal in any way, since it brings the whole discussion back to fundamental principles. Those more concerned about the business tend to become aware of the challenge of running it after a deal is closed, and thus lose the motivation to implement the deal in the first place due to their over concerns for employees and intangible assets.

We at ABeam M&A Consulting believe that it is essential to integrate the “financial techniques” and the “business strategy perspective.” Bringing a deal to fruition itself does not represent our final goal.
